The Founder & Developer

BratContent Inc was founded by Ralph "Raccoon" Carney, a radio and media veteran with over 50 years of experience across every aspect of the business—from late-night on-air screamer to producer, creative services, marketing, promotion, programming, and management. Ralph has also spent significant time on the agency side, working for and managing advertising agencies.


He's seen radio at its best—and watched it systematically dismantle itself from the inside.


Ralph built the Brats because he refuses to watch the lights go out on an industry he's dedicated his life to. 


These tools exist to give radio one more fighting chance—before unenlightened ownership and management finish what they started.

Broadcasters assume all risk associated with use of the Services.

Usage Data:

1. ACCEPTANCE OF TERMS

By subscribing to ChatBrat, NewsBrat, or any other BratContent Inc service (collectively, "the Services"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, do not subscribe to or use the Services.

These terms constitute a legally binding agreement between you (the "Subscriber") and BratContent Inc ("BratContent," "we," "us," or "our").


2. SERVICE DESCRIPTIONS

2.1 ChatBrat
ChatBrat is a market-specific AI-powered conversational research and content development tool designed for radio broadcasting professionals. ChatBrat provides show prep assistance, topic research, conversational content generation, and market-specific information aggregation.

2.2 NewsBrat
NewsBrat is a market-specific AI-powered news research and aggregation tool designed for radio news departments and broadcast journalists. NewsBrat provides breaking news monitoring, story research, local and national news aggregation, and newsroom productivity tools.

2.3 Market-Specific Licensing
Each Brat subscription is licensed for use in a specific geographic market. Subscribers receive access to the Brat(s) configured for their designated market only.


3. SUBSCRIPTION PLANS

BratContent offers three subscription plans:

3.1 Standard Plan (6 Months)

  • Pricing: $295/month for one Brat; $395/month for both ChatBrat and NewsBrat
  • Term: 6-month initial term
  • Renewal: Automatically renews monthly after the initial 6-month term
  • Market Access: Licensed on a cluster basis—all stations within the subscriber's market have access
  • Cancellation: One month written notice required for cancellation

3.2 Premium Plan (12 Months)

  • Pricing: $295/month for one Brat; $395/month for both ChatBrat and NewsBrat
  • Term: 12-month initial term
  • Renewal: Automatically renews annually after the initial 12-month term
  • Market Access: Licensed on a cluster basis—all stations within the subscriber's market have access
  • Priority Support: Annual subscribers receive priority market access and feature requests
  • Cancellation: One month written notice required for cancellation

3.3 Multiple-Market Plan (12 Months)

  • Pricing: Rates based on number of Brats and markets subscribed
  • Term: 12-month commitment with 12-month auto-renewal
  • Market Access: Group subscribers enjoy maximum volume discounts and receive market selection priority
  • Cluster Access: All stations within each subscribed market have access
  • Cancellation: One month written notice required for cancellation

4. BILLING & PAYMENT

4.1 Payment Terms
All subscriptions are billed in advance. Payment is due upon subscription activation and on the renewal date for each subsequent billing period.

4.2 Accepted Payment Methods
We accept credit card, debit card, and electronic bank transfer. Payment details must be provided at the time of subscription.

4.3 Automatic Renewal
All subscriptions automatically renew at the end of each term unless cancelled in accordance with Section 5. Subscribers will be charged automatically on the renewal date using the payment method on file.

4.4 Price Changes
BratContent reserves the right to change subscription pricing. Price changes will take effect at the next renewal period following 30 days' notice to the Subscriber.

4.5 Taxes
All prices are exclusive of applicable taxes (GST, HST, PST, sales tax, etc.). Subscribers are responsible for all applicable taxes based on their billing location.

4.6 Late Payment
Failure to pay any fees when due may result in suspension or termination of Services. Subscribers remain responsible for all fees incurred prior to suspension or termination.


5. CANCELLATION & REFUNDS

5.1 Cancellation Notice
Subscribers may cancel their subscription by providing one month's written notice via email to subscriptions@thebrats.ca. Cancellation takes effect at the end of the current billing period following the notice period.

5.2 No Refunds
All subscription fees are non-refundable. If you cancel your subscription, you will continue to have access to the Services through the end of the paid period, but no refund will be issued for unused time.

5.3 Termination by BratContent
BratContent reserves the right to suspend or terminate access to the Services at any time for violation of these Terms, fraudulent activity, abusive behavior, or non-payment. No refund will be issued in the event of termination for cause.


6. USER ACCOUNTS & ACCESS

6.1 Account Credentials
Subscribers will receive login credentials to access the Services via the BratContent.ca subscriber portal. Credentials are confidential and may not be shared outside the authorized user group.

6.2 Authorized Users
Each subscription allows up to 10 simultaneous users within the subscriber's organization. All users must be employees or authorized contractors of the subscribing organization.

6.3 Market Restrictions
Access is limited to the specific market(s) for which the subscription is licensed. Subscribers may not access Brats for markets they have not subscribed to.

6.4 Account Security
Subscribers are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. Subscribers must notify BratContent immediately of any unauthorized use of their account.


7. ACCEPTABLE USE POLICY

7.1 Permitted Use
The Services are licensed solely for use by radio broadcasting professionals for show preparation, news research, content development, and related broadcasting activities.

7.2 Prohibited Use
Subscribers may not:

  • Resell, redistribute, or sublicense access to the Services
  • Use the Services for any unlawful purpose
  • Attempt to reverse engineer, decompile, or extract source code from the Services
  • Use the Services to create competing products or services
  • Share login credentials with unauthorized third parties
  • Use automated systems (bots, scrapers) to access the Services
  • Violate any applicable laws or regulations while using the Services

7.3 Content Usage
All content generated by the Services is provided for research and ideation purposes. Subscribers are responsible for verifying all facts, complying with copyright laws, and ensuring all broadcast content meets applicable regulatory and ethical standards.


8. INTELLECTUAL PROPERTY

8.1 Ownership
BratContent Inc retains all rights, title, and interest in the Services, including all software, content, trademarks, and intellectual property. These Terms do not grant Subscribers any ownership rights in the Services.

8.2 Subscriber Content
Subscribers retain ownership of any content they create using the Services. BratContent does not claim ownership of broadcast content, scripts, or materials created by Subscribers.

8.3 Usage Data
BratContent may collect and analyze anonymized usage data to improve the Services. This data will not include personally identifiable information or proprietary broadcast content.


9. DISCLAIMERS & LIMITATIONS OF LIABILITY

9.1 Service Availability
While we strive for 99.9% uptime, the Services are provided "as is" and "as available." BratContent does not guarantee uninterrupted or error-free service.

9.2 Content Accuracy
The Services aggregate and process information from third-party sources. BratContent does not warrant the accuracy, completeness, or reliability of any information provided by the Services. Subscribers are solely responsible for verifying all facts and content before broadcast.

9.3 No Professional Advice
The Services are research tools and do not constitute professional journalistic, legal, medical, or financial advice. Subscribers must exercise independent editorial judgment.

9.4 Limitation of Liability
To the maximum extent permitted by law, BratContent's total liability for any claims arising from these Terms or use of the Services shall not exceed the amount paid by the Subscriber in the 12 months preceding the claim.

9.5 Exclusion of Damages
BratContent shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, arising from use of the Services.


10. INDEMNIFICATION

Subscribers agree to indemnify, defend, and hold harmless BratContent Inc, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Subscriber's use of the Services
  • Violation of these Terms
  • Violation of any applicable laws or third-party rights
  • Content broadcast using information obtained from the Services

11. DATA PRIVACY & SECURITY

11.1 Data Collection
BratContent collects and processes Subscriber data in accordance with our Privacy Policy. By subscribing, you consent to this data collection and processing.

11.2 Confidentiality
BratContent treats all Subscriber data as confidential and will not disclose it to third parties except as required by law or with Subscriber consent.

11.3 Security
We implement industry-standard security measures to protect Subscriber data. However, no system is completely secure, and we cannot guarantee absolute security.


12. MODIFICATIONS TO TERMS

BratContent reserves the right to modify these Terms & Conditions at any time. Subscribers will be notified of material changes via email at least 30 days before changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.


13. GOVERNING LAW & JURISDICTION

13.1 Canadian Subscribers
For Subscribers based in Canada, these Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada. Any disputes shall be resolved in the courts of Manitoba.

13.2 U.S. Subscribers
For Subscribers based in the United States, these Terms are governed by the laws of the State of [YOUR STATE - recommend Delaware or your incorporation state]. Any disputes shall be resolved in the state or federal courts located in [JURISDICTION].

13.3 International Subscribers
For Subscribers based outside Canada and the United States, these Terms are governed by the laws of the Province of Manitoba, Canada.


14. DISPUTE RESOLUTION

14.1 Informal Resolution
In the event of any dispute, Subscribers agree to first attempt informal resolution by contacting support@thebrats.ca.

14.2 Arbitration (Optional - U.S. Subscribers)
If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.


15. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.


16. ENTIRE AGREEMENT

These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between Subscriber and BratContent regarding the Services and supersede all prior agreements and understandings.
